# Marvell is buying Lumentum for $115 billion. What the deal terms say about the AI optics bet

> Marvell agreed to buy optical-component maker Lumentum in an all-stock deal valued at about $115 billion, one of the largest tech acquisitions ever. The filing shows a $3.2 billion regulatory break fee and a close that could slip into late 2028.

**Marvell Technology** has agreed to acquire **Lumentum**, the maker of lasers and optical components used in data center networking, in an all-stock deal with an implied enterprise value of about **$115 billion**. Lumentum shareholders will get 4.5 Marvell shares for each share they own, according to the merger terms disclosed in Lumentum's SEC filing. The filing dates the agreement to November 1; the companies held a joint investor call on November 2.

Why it matters: the bottleneck in AI clusters is increasingly moving data between chips, not only computing on them. Marvell designs custom chips and electrical connectivity silicon; Lumentum makes the lasers and optical modules that carry traffic over fiber. Marvell says combining them makes it a leader in "AI connectivity," from chips to data center equipment, according to TechCrunch.

## The deal in numbers

| Term | Figure | Source |
|---|---|---|
| Implied enterprise value | ~$115 billion (incl. debt) | TechCrunch, Yahoo Finance |
| Equity value | ~$80 billion | WSJ, as cited by TechCrunch |
| Exchange ratio | 4.50 Marvell shares per Lumentum share | SEC filing |
| Implied price per Lumentum share | ~$1,132 | Yahoo Finance |
| Premium | ~23.9% to October 28 closing prices | Yahoo Finance |
| Pro forma ownership | ~67% Marvell holders / ~33% Lumentum holders | Yahoo Finance |
| Expected cost savings | More than $1 billion a year (run-rate) | Yahoo Finance |
| Expected close | First half of calendar 2028 | TechCrunch, Yahoo Finance |

The companies chose October 28 as the reference date because that was before speculation about the deal emerged, Yahoo Finance reports. They also say the deal should add to Marvell's non-GAAP earnings per share in the first year after closing — a company projection, not a result.

For scale, TechCrunch compares it with Microsoft's $68.7 billion purchase of Activision Blizzard and Dell's $67 billion takeover of EMC.

## What the filing adds

The SEC filing summarizing the merger agreement contains details the headlines skipped:

- **Break fees.** Marvell would owe Lumentum **$5.8 billion** in certain circumstances, and Lumentum would owe Marvell **$2.9 billion** in corresponding ones. A separate **$3.2 billion** fee is payable by Marvell if the deal fails on antitrust or regulatory grounds.
- **A long runway.** The outside date is November 1, 2027, but it can be extended to February 1, May 1 and then August 1, 2028 if regulatory approvals are still pending.
- **Board seats.** Three Lumentum-designated directors join Marvell's board at closing; Yahoo Finance reports Lumentum CEO Michael Hurlston is among them, while Matt Murphy stays Marvell's chairman and CEO.
- **Conditions.** Both companies' shareholders must approve, the S-4 registration must become effective, and HSR and other regulatory clearances are required.

A regulatory break fee that size, plus extension dates running almost two years out, suggests both sides expect a lengthy antitrust review.

## The Nvidia connection

Nvidia is a major shareholder in both companies, TechCrunch notes. In March 2026 it invested $2 billion in Lumentum as part of a multi-year agreement to buy its advanced laser components, and later that month invested $2 billion in Marvell.

## Lumentum's numbers right now

Lumentum reported results alongside the deal, according to Yahoo Finance:

| Metric | Fiscal Q1 2027 | Year earlier |
|---|---|---|
| Revenue | $1.26 billion | $533.8 million |
| Systems revenue | $508.4 million | $154.6 million |
| Adjusted EPS | $4.57 | $1.10 |
| Adjusted gross margin | 53.2% | 39.4% |

It guided next-quarter revenue to $1.575–$1.625 billion, above the $1.48 billion consensus Yahoo Finance cites. Marvell said its own preliminary fiscal Q3 revenue is in line with prior guidance and narrowed the expected range around the midpoint to ±2%.

## What to watch

- **Regulators.** With the outside date stretching to August 2028 and a $3.2 billion regulatory fee on the line, approvals — including outside the US — are the main risk.
- **Customers.** Hyperscalers that buy from both companies, and rivals that buy Lumentum lasers, will want to know whether supply terms change under Marvell.
- **The stock price.** Because it's all stock, what Lumentum holders actually receive moves with Marvell's share price until closing.
